Article I - NAME

Section 1: The name of this association is the Polk County Youth Rodeo Association.

Article II - OBJECTIVE

Section 1: The objective of this association is to promote a positive social recreational environment in which youth participate and learn.

Section 2: To make necessary improvements to the facility and grounds.

Article III - Membership

Section 1. Non-Voting: Any Person, association, corporation, partnership or estate may subscribe to a non-voting membership in the Polk County Youth Rodeo Association, Inc. with the only requirement being an interest in helping youth, should you so desire.

Section 2. Voting: Each association member as herein defined shall be entitled to vote at any meeting of the membership of this association as long as they are in good standing and present. All of the following criteria must be met:

A. MINIMUM AGE: Each association member must be (18) years of age as of the January meeting. An exception to this rule is if the parent is a member, a child (16) years of age or older may work to accumulate points and vote.

B. The voting membership will be all persons who meet the voting requirements as listed under section 2.

C. You must attend at least 6 meetings and at least 18 other functions for a total of 24 functions sponsored by the Polk County Youth Rodeo Association or be voted in by the voting membership. The Polk County Rodeo is considered four functions.

D. You may vote after meeting the requirements listed above in section 2.

E. New Members:

1. Participation for voting membership should be brought to the attention of the president of the association by the prospective member.

Article IV - Fiscal Year

Section 1. The fiscal year of the association shall begin on January 1st and end on December 31st of each year.

Article V - Office

Section 1. Registered office: The registered office of corporation shall be: P.O. Box 7, Livingston, Texas 77351

Section 2. Other offices: The corporation may have other offices at such other places within the state of Texas as the executive board may from time to time determine.

Article VI - Officers

Section 1:

A: President-

1. The president shall be chief executive officer of the corporation.

2. He/She shall preside over all general meetings and the board of directors.

3. He/She shall appoint all committee chairmen and may suggest members of said committee.

4. He/She shall not chair any committee with the exception of the protest committee.

5. He/She may sit on any committee He/She chooses.

6. President shall vote only in the case of a tie.

B. Vice-President-

1. The Vice-President shall preside at legally called meetings of the association in the absence of the president.

2. He/She may sit on any committee.

3. He/She will be voted in by voting membership and assigned duties by the president.

4. He/She shall be a member of the executive board.

C. Secretary-

1. The secretary shall attend all meetings of the voting membership and executive board and record all votes and the minutes of all proceedings in a book to be kept for that purpose. He/She shall give notice of all meetings of the voting membership and committees, He/She shall be responsible for all equipment pursuant to his/her duties. He/She shall be responsible for documenting the requirements for voting membership.

2. He/she may sit on any committee.

3. He/She shall be a member of the executive board.

D. Treasurer-

1. The treasurer shall have custody of all funds and keep a full and accurate account of all receipts and disbursements of the association.

2. He/She shall deposit all money and other valuable effects in the name and to the credit of the association in such depositories as may be designated by the voting membership.

3. He/She shall disburse the funds of the corporation as may be designated by the voting membership, taking proper vouchers for such disbursements and shall render to the president and executive board, at the regular meetings of the board or wherever they may be require it, an account of all his/her transactions as treasurer as to financial condition of the committee.

4. He/She shall sit on any committee.

5. He/She shall be a member of the executive board.

E. Term of Office: Members of the executive board will serve a term of:

1. Officers:

A. President - One (1) Year.

B. Vice-President - One (1) Year.

C. Secretary - One (1) Year.

D. Treasurer - One (1) Year.

2. Board of directors:

A. Position 1 - Three (3) Years.

B. Position 2 - Two (2) Years.

C. Position 3 - One (1) Year.

D. The retiring president shall continue as an ex-officio director for one (1) year, in case his/her regular term of office has expired.

E. When the rodeo secretary is voted on by voting membership he/she will become a member of executive board. He/She will be a member for that calendar year.

3. Re-election to office is permitted.

4. Qualifications:

A. To be an officer or board of directors candidate you must be a voting member.

5. In a meeting of the executive board five (5) would be a quorum.

6. The decision of the executive board is final on financial matters and in emergency situations.

7. Removal of office: Only after:

A. Written notification to said officer(s) or agents in question.

B. Issue tabled until next voting membership meeting.

C. Written notification to all voting membership with this issue stated as the point of business.

D. Affirmative vote of two-thirds (2/3) of voting membership present at said voting membership meeting.

Article VII - Voting Membership

Section 1. The voting membership shall have the power to fill all vacancies on the executive board which occur for reasons other than term expiration. The voting membership shall adopt rules for conducting the business of the Polk County Youth Rodeo Association. The voting membership shall meet at such time and place as determined by them.

Section 2. The president shall appoint an election committee of three members as follows:

A. Not candidates for election.

Section 3. All voting for officers and board of directors are counted by the election committee.

Section 4. Members shall be limited to one vote as stated in Article III Section 2.

Section 5. Special meetings of the voting membership may be called by the president or by six (6) or more of the voting membership. The person or persons authorized to call special meetings of the voting membership may fix the time and place. Notice of time and place of any special meeting of the voting membership shall be given at least five (5) days previous, by written notice delivered personally or mailed to each member at his last known address stating the purpose for which the meeting is called. The attendance of a member at any meeting shall constitute a waiver of notice at any such meeting.

Section 6. At any meeting of the voting membership of the Polk County Youth Rodeo Association the quorum shall consist of voting members present at the regularly scheduled meeting.

Section 7. Officers and directors of the Polk County Youth Rodeo Association shall serve terms provided in these bylaws or until their successors are duly elected, or they are relieved of their duties as stated in article VII, Section 1, Subsection E.

Section 8. All policies of the Polk County Youth Rodeo Association shall be formalized and recorded in a manual of procedures for easy reference by the officers and directors. The association shall adopt such rules and regulations as may be required to conduct the affairs of the organization. The government and policy making responsibilities of the Polk County Youth Rodeo Association shall be vested in the voting membership, which shall control its property, be responsible for its finances, and direct its affairs.

Article VIII - Committees

Section 1. PUBLIC RELATIONS - The public relations committee shall advertise any event sponsored by the Polk County Youth Rodeo Association through the most cost effective means. This is also the hospitality committee.

A. Posters

B. Newspaper

C. Radio

D. TV.

E. Specialty Publications

F. Mailing Lists

1. This committee shall be headed by a chairperson.

2. Contact as many corporate sponsors as possible.

Section 2. DONATION COMMITTEE - The donation committee must contact local businesses about donating money or services, keeping the July Rodeo as the main objective. They are in charge of collecting the monies and sending statements. All monies shall be deposited in the name of Polk County Youth Rodeo Association.

1. This committee shall be headed by a chairperson.

Section 3. CONCESSION COMMITTEE - The Concession Committee:

A. Will open concession stand for all events requiring concessions.

B. They will set their menu in a reasonable and profitable manner.

C. Purchase all items pertaining to operating of concession stand.

D. Procure volunteers.

E. Report to arena vice-chairman of any maintenance needed.

1. This committee shall be headed by a chairman.

Section 4. AWARDS COMMITTEE - The Awards Committee will:

A. Recommend to the voting membership all awards to be given at any event sponsored by the Polk County Youth Rodeo Association.

1. July Rodeo

2. Playdays

3. Service Awards

4. Outside events

B. Upon the approval of voting membership this committee will purchase awards.

C. This committee will be headed by a chairperson.

Section 5. MAINTENANCE COMMITTEE - The maintenance committee in order to see that the job is carried out will be appointed to two (2) vice-chairmen, one whose responsibility is arena. Their responsibilities are as follows:

A. Grounds Vice-Chairman

1. Parking Lot

2. Fence

3. Gates

4. Rest Rooms

5. Meeting Room

6. Parking Personnel

7. Gate Personnel

B. Arena Vice-Chairman

1. Chutes

2. Pens - Stalls

3. Announcer Stand - Communications

4. Box Seats

5. Grandstands

6. Information Booth

7. Concession Stand

Section 6. PLAYDAY COMMITTEE - The Playday Committee will:

A. Set the dates and times for all playdays sponsored by the Polk County Youth Rodeo Association.

B. Furnish each contestant at the time of sign up a set of event rules and regulations that have been voted on by the general membership.

1. This committee will consist of the chairman of the following committees:

A. Public Relations

B. Concessions

C. Maintenance

2. This committee will be headed by a chairman. The chairman of this committee will be the arena director of the playdays. This committee will also have a secretary.

Section 7. JULY RODEO COMMITTEE - The July Rodeo Committee duties are to produce a successful July Youth Rodeo. This committee will consist of the chairman of the following committees:

A. Public Relations

B. Concessions

C. Maintenance
This committee will be headed by a chairman. The chairman will be the Vice President of the Polk County Youth Rodeo Association.

Section 8. Any committee, with the exception of the concession committee, must furnish a written proposal to the voting membership. Upon the approval funds are to be disbursed as needed. The committee chairman may present to the executive board with the need for additional funds. The executive board may approve needed additional funds up to 5% of the original estimate.

Section 9. The concession committee is exempt from section 8.

Section 10. You must be a voting member to be a chairman of a standing committee.

Article IX - DISBURSEMENTS

Section 1. All expenses shall be reviewed by the executive board. All disbursements shall be made by check. Checks shall be signed by the treasurer and any one (1) officer of the Polk County Youth Rodeo Association.

Section 2. The executive committee shall have the authority to take action in place of the full voting membership, when in the opinion of the president an emergency exists, excluding previous projects voted on by voting membership also excluding article VIII Section 8, and such action shall be approved by at least four (4) members of the executive board. Disbursements of funds made under this authority shall be limited to $250.00.

Section 3. Upon approval of the voting membership, the treasurer may be authorized to make disbursements for general operating expenses without additional approval of the voting membership. This shall be limited to regular monthly expenditures.

Article X - MEETINGS

Section 1: The annual meeting of the Polk County Youth Rodeo Association shall be held as early as practical after the election of officers. Whenever possible the annual meeting shall be held in February. The date of the meeting shall be set by the voting membership.

Section 2: The voting membership may provide for holding monthly, or such other meetings of the membership as may be considered necessary or desirable.

Section 3: Notice of each annual meeting, or other membership meetings shall be mailed to each member at least five (5) days in advance of each meeting.

Section 4: Each member shall be entitled to speak on any subject under consideration by the Polk County Youth Rodeo Association. At the discretion of the presiding officer, the time for debates may be limited.

Article XI - GENERAL RULES OF THE ASSOCIATION

Section 1: General rules for the use of the arena

A. STALL USE

1. No round bales

A. Daily rotations only

2. Right-of-refusal

A. Dangerous stock

B. Sick Stock

C. Abuse of Stock

3. No Personal Locks

4. No outside rentals June 1 to July 15 except during the Youth Rodeo.

5. Total stall clean-up, rake once per week.

6. As deemed necessary by the voting membership these are subject to change.

7. Livestock must be off the grounds within one day of a scheduled event. Any other use only with permission of the president or vice-president. Requests will be made in writing.

8. Maintenance chairman will oversee the above said rules:

A. Any abuses will be brought to the immediate attention of the executive board.

B. The executive board will take action immediately.

B. ARENA USE

1. All association members voting and non-voting will show courtesy to all contestants, spectators and visitors at all times.

2. Arena courtesy - anyone may use the arena on a share and share alike basis.

C. SPECIAL EVENTS:

1. Each event will be dealt with on an individual basis by the association.

2. In the event of a special time frame the executive committee may act in the best interest of the association.

D. ARENA, GROUNDS MAINTENANCE FEE, AND KEY RULES:

1. Maintenance fee will be valid from March 1 until February 28 or any time during the year that the individual wishes to begin using the arena.

2. The privilege of using the arena must be renewed each year.

3. Cost is $50.00 per year, for Polk County Residents. $125.00 for all others, non-refundable. Replacement key will be handled on an individual basis. No key will be pro-rated.

4. Keys may not be duplicated under any circumstance.

5. Key owner refers to the purchaser, spouse, any dependant children if applicable. It does not include any other family member such as brothers and sisters, or children not living full time at home.

6. Keys will not be loaned out. The key owner must be with his or her key when it is being used. The key owner is welcome to take a guest to the arena, but must stay with the guest and is liable for their actions.

7. The key owner is not to allow anyone into the arena that is not his or her personal guest. It is the key owner's responsibility to lock the gate behind him when he enters the arena. If anyone who is not a key owner is allowed in because of failure to lock the gate, that person is considered the personal guest of the key owner, and the key owner assumes liability for that person.

8. Purchasing a key does not entitle the key owner to conduct any business at the arena, or use the arena in any way to make money, or where money is exchanges hand. In the event this happens, arena rent must be paid.

9. Key owner is responsible for cleaning up after using the arena, and to report any misuse to the Polk County Youth Rodeo Association.

10. All keys will be numbered. Anyone using an unnumbered key will be considered unauthorized, and forfeit the right to own a key.

11. Members of the Polk County Youth Rodeo Association have the authority to ask for proof of key ownership of anyone using the facility. This is to protect you, the key owner. Please do not be offended. It is for your protection.

12. The use of the arena for practice is on a first come, first serve basis. Remember, this should not be abused. It is to be shared. Failure to do so should be reported to a voting member of the Polk County Youth Rodeo Association.

13. A list of key owners will be posted at the arena.

E. No alcohol is allowed on the premises.

F. Exceptions from the maintenance fee and key charge will be the following:

1. P.C.Y.R.A. Officers and Directors.

2. Persons who have met the voting requirements.

3. Polk County Extension Agents, Polk County Agriculture Science Teachers.

Article XII - RODEO SECRETARY

Section 1. The executive board shall present two (2) names to the voting membership to be voted on at the February General Meeting. This office will be called Rodeo Secretary. It shall be the duties of the rodeo secretary to send and receive all rodeo entries. He/She shall collect all entry fees and figure contestant payback. He/She shall present a detailed report of the rodeo to the voting membership at a regularly scheduled August meeting. He/She shall be present at all performances of each rodeo and be in charge of all rodeo books. He/She must be a voting member.

Article XIII - PARLIAMENTARY RULES

Section 1: The proceedings of all meetings of the membership, executive board or committees shall be governed by and conducted according to the latest edition of "Roberts Rules of Order Parliamentary Procedure Guide" EXCEPT as herein provided.

Article XIV - AMENDMENTS

Section 1: The By-Laws may be amended only after:

A. All proposed amendments are presented in writing at the general membership meeting held in January and voted on at the following regularly scheduled meeting.

Article XV - INDEMNITY

Section 1: The corporation shall have the power to indemnify any director or officers of the corporation for the expenses and cost (including attorney's fees) actual and necessarily incurred by Him/Her, in connection with any claim asserted against, by action in court or otherwise by reason of his/her being or having been such officer or director, except in relation to matters as which he/she shall have been guilty of misconduct or negligent in respect on the matter in which indemnity is sought.

Article XVI - CONTINUITY

Section 1: These By-Laws supersede the former constitutions and bylaws of the Polk County Youth Rodeo Association, and shall take effect upon adoption. All officers, directors, committees, members and employees shall continue without interruption, except as the provisions of this instrument may specify changes. All existing membership, property and rights of the Polk County Youth Rodeo Association shall automatically continue to be vested in the Polk County Youth Rodeo Association, fully and completely, without further formality, action or transfer.

Article XVII - DISSOLUTION

Section 1: The Polk County Youth Rodeo Association shall use its funds only to accomplish the objectives and purposes specified in these bylaws, and no part of said funds shall inure, or be distributed to the members of the Polk County Youth Rodeo Association. On dissolution of the Polk County Youth Rodeo Association, any funds remaining shall be distributed to one or more regularly organized and qualified charitable, educational, scientific or philanthropic organization(s) to be selected by the executive board.
